PayPal Sends Its Abandoned Buyers a Payment Request

The abandoned takeover returns as an unpaid checkout, forcing the seller to price itself before it can process the sale.

A checkout terminal lists the same company as buyer and seller while bankers pass employee badges through a fraud-review scanner; a small processing-fee receipt comes out of the machine.

After reports that Advent International and Stripe stopped pursuing a roughly $53 billion takeover of PayPal, a checkout page generated for the abandoned bid asked the consortium to explain what its payment was for.

The merchant enters review

When the bankers selected “acquisition,” the amount field rejected $53 billion as “subject to valuation.” It displayed PayPal’s roughly 12% morning share drop beside a box asking what the company was worth, and each new figure sent the other side a fresh payment request.

The page then opened a fraud review because the proposed buyer and the merchant had appeared in the same deal room. The review froze the request and required proof that the merchant owned the company being sold.

Bankers uploaded ownership evidence one employee at a time. Each approved employee received temporary access to the PayPal account, but the next login flagged the first as a possible duplicate owner and removed that person’s access. By lunch, the consortium had established that its entire team could speak for the deal, provided nobody did so together.

To escape the loop, deal staff selected “test transaction” and entered zero dollars, hoping to verify the payment plumbing without deciding the price. It cleared immediately, marked PayPal as both buyer and seller, and charged PayPal a processing fee for accepting its own payment. The completed receipt lists PayPal as customer, merchant, processor and fee payer, with the fee awaiting reimbursement from the only account authorized to issue it.
